PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THIS IS A BINDING LEGAL AGREEMENT.
This Terms of Service agreement ("Terms") governs your access to and use of the AI-powered software products, applications, websites, and related services (collectively, the "Services") provided by Kiros Technology Pte Ltd ("Kiros," "we," "us," or "our").
By creating an account, or by accessing or using our Services, you, on behalf of yourself and any entity you represent ("Client," "you," or "your"), agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
Kiros provides a suite of proprietary AI-powered software tools designed to assist financial advisory professionals in their data analysis, workflow optimisation, and client management processes. The Services are intended to be a decision-support tool and not a replacement for professional judgment.
We reserve the right to modify, suspend, or discontinue the Services, or any part thereof, at any time with or without notice.
Registration: To use the Services, you must register for an account and provide accurate, current, and complete information. You agree to keep your account information updated.
Eligibility: You must be a professional in the financial services industry and be fully authorised to act on behalf of your company or organisation.
Security: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
You agree not to use the Services to:
Violate any applicable laws, regulations, or professional codes of conduct, including those set by the Monetary Authority of Singapore (MAS).
Upload, process, or transmit any data that is unlawful, harmful, or infringes upon the rights of any third party.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying AI models of our Services.
Introduce any viruses, malware, or other malicious code into the Services.
Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
Use the Services to provide standalone financial advice or to make automated investment decisions without professional human oversight.
Ownership: You retain all right, title, and interest in and to the data you or your organisation uploads or inputs into the Services ("Client Data").
Responsibility: You are solely responsible for the accuracy, quality, legality, and integrity of your Client Data. You represent and warrant that you have obtained all necessary rights, licenses, and consents (particularly from your end-customers) required to use and process the Client Data within our Services in compliance with all applicable data protection laws, including the PDPA.
License to Kiros: You grant Kiros a worldwide, non-exclusive, royalty-free license to use, process, reproduce, and display your Client Data solely for the purpose of providing, maintaining, and improving the Services. This includes the right to use anonymised and aggregated Client Data to train and enhance our AI models. Such anonymised data will not be traceable back to you or any individual.
All right, title, and interest in and to the Services, including all software, algorithms, AI models, graphics, user interfaces, and trademarks, are the exclusive property of Kiros Technology Pte Ltd and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms and your subscription agreement.
Access to the Services is subject to subscription fees detailed in a separate Service Agreement or Order Form between you and Kiros. All fees are non-refundable except as expressly stated in your Service Agreement. You are responsible for paying all applicable taxes.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
No Financial Advice: Kiros is a technology provider. THE SERVICES DO NOT CONSTITUTE FINANCIAL, INVESTMENT, LEGAL, TAX, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. The output generated by our AI is for informational and decision-support purposes only.
Professional Judgment: You, the financial advisory professional, are solely and entirely responsible for the advice and services you provide to your end-customers. You must exercise your own independent professional judgment and verify any information or analysis provided by the Services before making any recommendations or decisions.
No Guarantee of Accuracy: While we strive for accuracy, Kiros does not warrant that the Services will be uninterrupted, error-free, or that the output generated will be accurate, complete, reliable, or fit for any particular purpose.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KIROS TECHNOLOGY PTE LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Kiros Technology Pte Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your Client Data, including any claim that your Client Data infringes on the rights of a third party or violates any law.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the courts of Singapore.
Entire Agreement: These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Kiros.
Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
